Terms of Service

The contract for using yakinu (business customers only).

1. Scope and parties

These Terms govern the use of yakinu (the “Service”) provided by [Company legal name], [Address] (“we”). The Service is offered exclusively to businesses (B2B). By creating an account you confirm that you are at least 18 years old and act on behalf of a business. Consumers within the meaning of applicable consumer law may not use the Service.

2. Accounts, organizations and workspaces

An organization is the contracting party and billing entity. Organization admins may create workspaces (brands) and invite members. You are responsible for all activity under your organization, for keeping credentials confidential and for the conduct of your members.

3. The Service

The Service lets you generate and edit images, videos and texts with third-party AI models (currently in particular Black Forest Labs FLUX and OpenAI models; other providers may be enabled). Outputs are produced automatically, may be inaccurate, and must be reviewed by you before use. We may change, add or remove AI models and providers at any time.

4. Credits and fees

Generations consume credits. The credit cost is shown before each generation; credits are reserved when a job starts and refunded if it fails or is blocked by moderation. Unless agreed otherwise, purchased credits expire [12 months] after purchase and are non-refundable. Trial credits have no cash value and may be revoked in case of abuse. [Pricing / payment terms to be completed.]

5. Your content and rights

You retain all rights in content you upload (“Inputs”). As between you and us, you own the outputs generated for you (“Outputs”), to the extent permitted by law and by the terms of the underlying AI providers. You acknowledge that purely AI-generated outputs may not be protected by copyright and that similar outputs may be generated for others.

You grant us a limited licence to process Inputs and Outputs solely to provide the Service. We do not use your content to train AI models.

6. Your obligations

You must comply with the Acceptable Use Policy, obtain all rights and consents for Inputs (in particular consent of every identifiable person depicted, e.g. model releases), and comply with all laws applicable to your use of Outputs — including advertising, consumer-protection, unfair-competition and AI transparency rules (e.g. labelling synthetic people and AI-generated content where required).

7. Moderation and suspension

We run automated and manual safety checks and may block requests, remove content and suspend accounts that violate these Terms or the Acceptable Use Policy, or where required by law (including notice-and-action obligations).

8. Availability and changes

We aim for high availability but do not guarantee uninterrupted service. AI providers may change or discontinue models. We may modify these Terms with at least [30] days’ notice; continued use after the effective date constitutes acceptance.

9. Liability

[To be drafted by counsel: liability caps, exclusion of indirect damages, unaffected mandatory liability (intent, gross negligence, injury to life, body or health, product liability), indemnity by customer for third-party claims arising from Inputs and use of Outputs.]

10. Term and termination; data export

Either party may terminate with [30] days’ notice. Upon termination you may export your library for [30] days; afterwards your data is deleted in accordance with the Data Processing Agreement.

11. Governing law and venue

[German law, excluding the UN Convention on Contracts for the International Sale of Goods; venue [City] — to be confirmed. US customers: to be reviewed.]
